GENERAL TERMS AND CONDITIONS

General Provisions

These General Terms and Conditions govern the relationship between the online store www.shop.axisbulgaria.com.(hereinafter referred to as the „website“), on the one hand, and the users of the website, including the processes related to ordering, purchasing, and delivering the goods offered on the website.

The website is operated by AXIS BULGARIA EOOD, registered in the Commercial Register and the Register of Non-Profit Legal Entities with the Registry Agency of the Republic of Bulgaria under UIC BG203337170, with its registered office and address of management at “ul. “Okolovrasten
”Road„ No. 3 (hereinafter referred to as “Supplier,„ “we,„ or “us„), which is a supplier under the Electronic Commerce Act (“ECA”).

The supplier holds a license to sell the medical devices offered on the website. A copy of the license will be provided to interested consumers upon request.

Users/purchasers of goods from the website may only be individuals—doctors registered with the Bulgarian Medical Association who possess a valid unique identification number (UIN number). When placing an order and/or registering, users must explicitly provide their UIN number.

Given that the purchasers of goods from the website will be solely physicians, acting in the course of their commercial and professional activities, they do not constitute „consumers“ within the meaning of § 13, point 1 of the Supplementary Provisions of the Consumer Protection Act (CPA), and the rights, provisions, and procedures provided for the protection of consumers under the CPA do not apply. If, for any reason or on any grounds, it is determined that the relationship between the Supplier and a specific consumer should be governed by the CPA, that consumer is entitled to exercise all rights, protections, and privileges granted to them by law.

By voluntarily selecting a product, link, or button on the website (with the exception of the link to these Terms and Conditions), the user:

1. agrees to, fully accepts, and undertakes to comply with these Terms and Conditions. If the user does not agree to be bound by the Terms and Conditions set forth herein, please discontinue use of this website;
2. declares that:
   – is at least 18 years old;
   – is a physician who is validly registered with the Bulgarian Medical Association and holds a valid UIN number;
   – has only one account on the site.
3. agrees, declares, and undertakes to:
   – not to impersonate another person while using the website and to use only their own UIN number and information;
   – if you access another website through this site, please review its terms and conditions;
   – not to circumvent any measures we implement to restrict access to certain parts of the site;
   – not to engage in any actions that could disrupt the functionality of our systems;
   – not to copy the website or any part of it for use on other websites or in other applications;
4. agrees and confirms that they are visiting the website and placing orders in the course of their commercial and professional activities and are not a „consumer“ as defined by the Consumer Protection Act
   Upon acceptance by the user, these General Terms and Conditions are binding on the Provider and the users.
   "Goods," as defined in these General Terms and Conditions, refer to any goods and/or services offered on the website.

User Profile Registration

Registering a user account on the website is not required in order to use the website, place orders, or ask questions using the provided forms. Orders and purchases of goods from the website can be made:

– Without prior registration (as an unregistered user), but only after you provide the requested information, including a valid UIN number; or

– After the customer has pre-registered and created a customer profile. This will allow the user to take advantage of the benefits of a user profile. With it, the user will be able to more easily place valid orders for goods, as well as enjoy a number of benefits such as saving delivery information, conveniently viewing their order history, their status and contents, etc.

During registration, the user must enter their first and last name, UIN number, email address, contact phone number(s), and preferred shipping address, as well as choose a password. After successful registration, the user may, for each individual order, update the contact phone number and delivery address, as well as designate a representative to receive the order. By checking the box „I agree to the „General Terms and Conditions,“„ the customer makes an electronic declaration within the meaning of the Electronic Document and Electronic Signature Act, thereby declaring that they are familiar with these “General Terms and Conditions” and accept them.

After registering, you will receive a username and password; we recommend that you keep them confidential. Do not share your password or username with third parties, and if you suspect any misuse, please notify us immediately.

These General Terms and Conditions apply to the Provider’s relationships with both registered users and unregistered customers.

Data Confidentiality

The personal data that the Provider receives upon registration will be used solely for the purpose of serving customers—accepting and fulfilling orders, and providing information to and in connection with customers. The Provider’s privacy policy is posted on the website, and users should review it before providing their personal data.

A specific user's account may be deleted from the website's database, along with the data associated with it, at any time at the user's request.

Orders

Orders can be placed on the website 24 hours a day, 7 days a week, including weekends and official holidays.

The user can place an order using an existing user account or simply fill in the required information for the payer and recipient of the shipment: names, email address, phone number, UIN number, and address, as well as select the payment method. Upon completion of the order, it is deemed that the user has expressly confirmed and declared that they are familiar with the ordered goods, their intended purpose, and method of use.

Customer orders and inquiries are processed by the Provider’s operators during the company’s business hours. Within two business days after the order is finalized and the request is submitted, the Supplier will contact the customer at the provided phone number to confirm the order and the delivery times. The Provider hereby notifies customers that the expected delivery times for goods, depending on their availability, range from three to ten business days.

Upon the Supplier’s acceptance of the order, the terms of the order become binding on both parties. If the Supplier does not accept the customer’s order, this is considered a rejection of the order, as a result of which the customer is no longer bound by their declaration of intent to purchase the goods.

Prices and Payment Terms

Unless otherwise specified in the product description, the prices listed are final gross prices, including VAT and all other applicable taxes and fees, if any.
Any additional shipping and/or transportation costs are listed separately in the description of the respective product.

The customer may pay for the ordered products using one of the following methods:
– By credit or debit card via BORICA / virtual POS terminal; or
– Cash on delivery upon receipt of the goods.
The customer makes their selection when placing the order.

Information about paying with cards:

• We accept debit, credit, and business cards (Visa, Mastercard, bCard)
• Payments are processed through VPOS and are secured by MasterCard Identity Check and VISA Secure
• Card information is not stored
• If a refund is needed, the amount is refunded to the same card

Deliveries

The supplier arranges for the delivery of the ordered goods to the address specified by the consumer, either at the consumer’s expense or at the supplier’s expense, depending on the terms specified in the order. .

The supplier uses the following delivery methods for the ordered goods:

(i) courier services;

(ii) delivery by our own employees and suppliers.

By accepting and agreeing to these General Terms and Conditions, the user also accepts and agrees to the specified delivery terms

The customer must ensure that someone is present at the specified delivery address to receive the merchandise. In the event of unclaimed or undelivered shipments, the Supplier reserves the right to add the customer’s information to a database of non-compliant customers and to refuse to fulfill any subsequent orders from that customer.

Upon delivery, the consumer has the right and obligation to inspect the delivered goods without unsealing the packaging or compromising its integrity. The customer has the right to refuse delivery if the goods do not meet the terms of the order or if the packaging is damaged or tampered with. If the customer accepts the goods, they are deemed to have been approved as meeting the requirements.

The consumer has been informed and, by accepting these General Terms and Conditions, unconditionally agrees that the goods sold on the website constitute medical devices and, in this regard, due to the nature of the goods offered and for reasons related to hygiene or health protection, the user is not entitled, upon receipt of the goods, to exercise the right of withdrawal or to return the purchased goods.

Warranty

The Provider takes reasonable measures to ensure that the information on the website is up to date, but does not guarantee its accuracy. The Provider is not liable for any problems caused by the use of the website, unless they result from intentional acts on its part.

The opinions and information provided on the website are general in nature and should not be construed as recommendations or advice regarding the purchase or use of a specific product. The provider does not offer medical advice. Before ordering or using a specific product, the user should conduct the necessary research and make an independent and informed decision regarding the order and purchase of the relevant medical product. Before and while using products offered on the website, the User must review and comply with all instructions and rules for the use and application of the specific product.

We guarantee the authenticity of our products, which are sourced directly from manufacturers or trusted distributors. Our suppliers are rigorously vetted to ensure they meet high standards of quality and authenticity. In the event that a customer questions the authenticity of a product purchased from us, we will conduct a thorough investigation. The resolution may include, but is not limited to, consulting with our suppliers, conducting laboratory tests, or utilizing other channels to verify the source and authenticity of the product.

If, after accepting the goods in question, a consumer believes that the delivered product is defective, the consumer must immediately notify the Supplier; furthermore, in the absence of a response from the Supplier, the consumer retains all rights granted to them under Bulgarian law.

Questions / Chat

The website allows users to ask questions and engage in discussions with representatives of the Provider via a forum or chat.

When posting content on the website, the User agrees to:

– Refrain from using obscene or vulgar language, or posting material that is offensive, threatening, harassing, defamatory, racist, ageist, or sexist;

– Not to send illegal or unwanted content;

– Not to create posts that encourage violence;

– Do not include links to other websites;

– Do not advertise any products.

The Provider reserves the right to moderate and remove any posts that, in its sole discretion, violate these Terms and Conditions, the law, or public decency.

Miscellaneous

The supplier may, at any time and at its sole discretion, change the images, the quantity, and/or the types of goods offered, the selling prices, and other details, without notifying customers or casual visitors to the website.

The Provider reserves the right to temporarily suspend a registered user’s account or to suspend the sale of goods to a specific user if the user’s actions violate these General Terms and Conditions or constitute systematic bad-faith conduct; or cause harm in any way to the Provider or to other users,

For any matters not addressed in these Terms and Conditions, the provisions of the legislation in force in the Republic of Bulgaria shall apply.

In the event of disputes between the parties, the disputed issues shall be resolved in a spirit of mutual understanding through negotiations between the parties. If an agreement cannot be reached within 1 (one) calendar month of the dispute arising, all disputes arising out of or relating to the contract between the parties, including disputes arising out of or relating to its interpretation, invalidity, performance, or termination, as well as disputes regarding the filling of gaps in the contract or its adaptation to newly arising circumstances, may be referred for resolution to the competent Bulgarian civil court in the city of Sofia.

Changes to the Terms and Conditions

These Terms and Conditions were adopted on February 25, 2026, but the Provider may unilaterally amend or supplement them, with the changes taking effect upon their publication on the website. Users should check the website frequently to ensure they are familiar with the current General Terms and Conditions. If a user does not accept the changes, they must discontinue further use of the website.
